Terms of Service for the geegs Platform

These Terms of Service ("Terms") are a legally binding agreement between you and the geegs platform ("geegs", "we", "us", "our"). By using the geegs platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the geegs platform.

The geegs platform is a decentralised tool built on top of the Ethereum blockchain that allows two parties to create a tokenised employment contract ("TEC"). The platform enables hirers and talents to create TECs and escrow funds on-chain to ensure successful completion of work. The platform also provides a dispute resolution process to facilitate resolution between parties.

Please read these Terms carefully. They contain important information regarding your legal rights, remedies, and obligations. By using the geegs platform, you agree to comply with these Terms, applicable laws, regulations, and policies.

  1. Introduction
    These Terms of Service govern the use of the geegs platform, a decentralised tool that allows two parties to create a tokenised employment contract (TEC) built on top of the Ethereum blockchain. By using the geegs platform, you agree to these Terms of Service and any additional terms that may be applicable to specific features of the platform.

  2. Use of the Platform
    To use the geegs platform, you must connect your self custody wallet (Metamask) to the platform. You can create a TEC, raise a dispute on an existing TEC and settle a TEC when the work is done. By creating a TEC, you agree that the TEC is binding for both parties and provable on-chain.

  3. Tokenised Employment Contract (TEC)
    The TEC created on the geegs platform is a custom soul-bound token. This means that it is non-transferrable and can only be owned by the talent who is party to the TEC. The TEC is created on the Ethereum blockchain using a custom token standard developed by geegs.

    The TEC token standard is designed to ensure that the TEC is immutable and provable on-chain. Once a TEC is deployed, it cannot be edited or modified. This provides both hirers and talents with a high degree of certainty and transparency regarding the terms of the employment contract.

    As a user of the geegs platform, you acknowledge and agree that any TEC deployed on the platform is a binding and enforceable contract between the parties. The TEC serves as a record of the terms of the agreement and the funds held in escrow on the TEC serve as a guarantee of payment for the work performed.

  4. Creating a TEC
    To create a TEC, you must provide the talent ENS address, wallet address, job details, job value and upload deliverables. Once everything is ready to go, the hirer can deploy the TEC. Upon confirmation from the talent through a Metamask transaction sign-off, funds are escrowed directly on the TEC. The TEC is then sent to the talent wallet and is non-transferrable and immutable.

  5. Completing a TEC
    Upon completion of work, both parties sign-off and funds are released as well as the TEC converting into an on-chain completion badge. The geegs platform is not responsible for any disputes or disagreements between parties, but can be used to facilitate resolution through the dispute process outlined below.

  6. Dispute Resolution
    If there is a dispute between the parties, the hirer can raise a dispute by selecting the TEC they would like to dispute. They have the option to select the geegs dispute team or delegate a third party to handle the dispute. The third party must be approved by both parties before proceeding. Upon confirmation of the third party to handle the dispute, the party that raised the dispute must provide a reason and upload proof of TEC breach. The delegate handling the dispute has the option to release funds to the talent or refund the hirer.

  7. Dashboard and Completion Badges
    The geegs platform provides a dashboard where users can view their active TECs, completed TECs, disputes, and drafts. There is also a separate page to view completion badges specifically for talents.

  8. Disclaimer of Liability
    The geegs platform is not responsible for any loss of funds or damages that may occur during the use of the platform. By using the geegs platform, you agree to release the platform from any liability for any disputes, losses, or damages that may occur.

  9. Termination
    The geegs platform reserves the right to terminate or suspend any user"s access to the platform at any time, without notice, for any reason.

  10. Changes to Terms of Service
    The geegs platform may update these Terms of Service from time to time. By continuing to use the platform after any changes to the Terms of Service, you agree to be bound by the updated Terms of Service.

  11. Governing Law and Jurisdiction
    These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which the platform is located. Any disputes arising out of or relating to these Terms of Service shall be resolved in the courts of that jurisdiction.

  12. Entire Agreement
    These Terms of Service constitute the entire agreement between you and the geegs platform regarding the use of the platform, superseding any prior agreements between you and the platform.
